By accessing or using quvirl.com, the Quvirl AI Video Lab, the Product Demand Radar, or any associated tools or APIs (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. User Content Ownership & Copyright Warranty (AI Video Lab)

Quvirl AI Video Lab is a technical video editing, captioning, and formatting utility designed exclusively for authorized content repurposing. By uploading a file, providing a media URL, or using session authentication within the Service, you represent, warrant, and covenant that:

Quvirl acts strictly as a passive, automated technical service provider executing user-directed editing parameters. Source video files are processed ephemerally and purged automatically within 10 minutes of job readiness.

2. DMCA Safe Harbor & Copyright Takedown Policy

Quvirl respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) and applicable global intermediary safe-harbor laws. If you believe any material accessible through our Service infringes your copyright, please send a written takedown notice to our Designated Copyright & Grievance Officer at support@quvirl.com including: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact details; (d) a good-faith statement that the use is unauthorized; and (e) a statement under penalty of perjury that you are authorized to act on behalf of the owner. Accounts of repeat infringers are terminated immediately.

3. No Financial, Earnings, or Business Guarantees (Product Radar)

All market intelligence, Quvirl Scores, Google Trends velocity metrics, Amazon demand indicators, supplier unit costs, and estimated net profit margins displayed on Quvirl are algorithmic estimates provided for informational and educational purposes only. They do not constitute financial, investment, legal, or business advice. We do not guarantee sales, profitability, supplier performance, product quality, intellectual property clearance of third-party supplier goods, or advertising return on ad spend (ROAS). Merchants are solely responsible for conducting their own due diligence, verifying customs/import compliance, and ensuring that products sourced from third-party suppliers do not infringe third-party patents, trademarks, or copyrights.

4. FTC Affiliate & Third-Party Link Disclosure

In compliance with the U.S. Federal Trade Commission (FTC) 16 CFR Part 255 and international advertising disclosure standards, please note that Quvirl participates in affiliate and partner programs (including CJdropshipping, AliExpress, and advertising networks). Quvirl is an independent software platform and is not affiliated with, endorsed by, sponsored by, or officially connected to Google LLC, YouTube, Amazon.com, Inc., Twitch Interactive, Inc., Kick Streaming Pty Ltd, TikTok / ByteDance Ltd., Meta Platforms, Inc. (Instagram Reels), Shopify Inc., CJdropshipping, Alibaba Group (AliExpress), or any individual content creators. Any references to third-party platforms or caption styles are purely descriptive (nominative fair use) to indicate format compatibility.

6. Indemnification

You agree to defend, indemnify, and hold harmless Quvirl, its founder, operators, affiliates, and service providers from and against any and all claims, lawsuits, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) any video, audio, URL, or content you submit to the AI Video Lab; (c) any products you list, market, or sell in your e-commerce store; or (d) your violation of these Terms, any third-party platform Terms of Service, or any applicable law.

7. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUVIRL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS GOODWILL. IN NO EVENT SHALL QUVIRL'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO QUVIRL IN THE PAST TWELVE (12) MONTHS OR (B) ZERO U.S. DOLLARS ($0.00).

8. Governing Law, Dispute Resolution & Class Action Waiver

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively on an individual basis through binding arbitration or a court of competent jurisdiction. You waive any right to participate in a class action, collective action, or representative proceeding against Quvirl.
